We assist our clients, as desired, from letter of intent through closing, including contract negotiation, due diligence (including consultation with environmental counsel and title and survey review) and negotiation and closing of mortgage financings with all lender types, including CMBS, insurance companies, national and regional banks and credit unions and credit companies. We help our clients negotiate and complete joint venture/LLC agreements with preferred equity, syndications and other capital partners.
We represent sellers and purchasers of vacant land (including option and long-term contracts with milestones and other contingencies), value-add opportunities, fully stabilized multi-tenant assets and single tenant net lease/1031 properties. Our clients range from small owners and developers to large users/occupiers to NYSE REIT’s. We help our purchasing clients negotiate issues directly impacting the bottom line, including sources of NOI slippage from the offering memorandum and proforma; we endeavor to secure the best contract protections achievable in light of the underlying dynamics and leverage of the parties. For our selling clients, we attempt to minimize post-closing liabilities and expedite closing, but push for additional time for 1031 replacement property identification when necessary.
